About Role: 

We are looking for the Legal Counsel will serve as a trusted advisor and strategic partner to the organization, providing comprehensive legal guidance across multiple areas of law. This role requires a seasoned legal professional with the expertise to handle complex legal matters, ensure regulatory compliance, and support the organization’s goals

Responsibilities

  • Corporate transactional work – subject to level of experience, running smaller deals or working alongside the senior members of the team to review external counsel drafting and liaise with external counsel. Also, opportunity to draft term sheets at outset of deal.
  • Ancillary documents - supervising paralegals on this workstream and checking ancillary documents prepared by the paralegals, such as board minutes, shareholder resolutions, MoAs etc.  
  • NDAs - supervising this workstream and training up the paralegals on the drafting/negotiation side of things with overall supervision on tricky points from more senior members of the team. 
  • International work – assisting with preparation of MOUs relating to G42 international expansion plus liaising with external counsel on preparation of geo-risk assessment reports.
  • Governance items/Delegations of authority - preparing first drafts of DoAs etc. for senior members to review. 
  • Finance documents – assisting with intragroup finance documents such as intragroup loans, capital contribution letters, payment direction letters, etc. [we have templates that can be leveraged so all pretty straight forward and do not require bespoke finance experience].
  • Commercial agreements – assisting commercial lawyer with commercial agreements from time to time but mainly when senior commercial lawyer is on leave (these mainly include service agreements).
  • Precedents - assisting the senior members of the team with preparing precedents (e.g. SHAs, SPAs).
  • Training – presenting legal topics at training sessions and helping to prepare internal training slides.
  • Legal tech – assisting with legal tech roadmap/implementation of legal tech to improve efficiencies in legal team.
  • Proposals - reviewing fee quotes/proposals provided by external counsel and preparing comparison tables/giving initial thoughts for the senior members of the team to consider.
  • KYC – assisting with KYC requests from third parties (note that most KYC requests are handled by the paralegals but where KYC requests relate to holding companies and are more sensitive in nature, the more senior lawyers in the group currently handle).

Qualifications

 

 

  • Bachelor’s degree in law (LLB or equivalent); a master’s degree (LLM) or other advanced legal qualifications are an advantage.
  • Admitted to practice law in a relevant jurisdiction.
  • Minimum of 3 PQE years in a corporate legal environment, with expertise in multiple legal domains.
  • Proven ability to handle complex legal matters independently.
  • Strong negotiation, analytical, and communication skills.
  • Experience in a dynamic industry, such as technology, AI, or global operations, is a plus.
